TERMS AND CONDITIONS 

1. The Purchase Order is non-cancellable, non-returnable, and cannot be rescheduled for delivery to a later date.
2. The Customer assumes full accountability for any product that meets the following conditions:
           a. Shipped to the Customer.
           b. Held in inventory for the Customer based on the Customer’s Purchase Order.
           c. Ordered from the manufacturer to fulfill the Customer’s Purchase Order.
3. The Customer cannot remove any portion or item from the bill of materials of the Purchase Order once the order has been processed by New Generation Link.
4. The Customer cannot cancel a Purchase Order or refuse delivery due to change of mind, error in the order placed by the Customer, or any other reason, except in cases where:
           a. The product/license to be delivered by New Generation Link is not the same as those reflected in the Purchase Order.
           b. The product has damage or a factory defect.
5. The processing of the order will commence upon receipt by New Generation Link or its duly authorized representative of the Purchase Order and an acknowledged copy of this Agreement.
6. Once the product has arrived, the Customer must accept the product listed in the Purchase Order within seven (7) days from notice/delivery by New Generation Link. If the Customer fails to accept the products within the specified period, New Generation Link shall not be liable for any loss, damage, or deterioration of the product, unless it is due to an intentional fault of New Generation Link. The Customer’s refusal or failure to accept the product(s) shall not prejudice New Generation Link’s right to collect the agreed order contract price for the product per the Purchase Order.
7. The Customer shall immediately inspect the product upon receipt for any apparent damage or factory defect. If any such damage or defect is found, the Customer may refuse the acceptance of the product and request New Generation Link to replace or remedy the damage or defect. Once accepted by the Customer, the product delivered by New Generation Link shall be conclusively deemed to be in good condition and free from any apparent damage or defect.
8. The product shall have warranties only to the extent provided and may be covered bythe warranties given by the manufacturer thereof.
9. Invoice transactions shall be due for payment based on credit terms provided by New Generation Link  

10. In addition to all rights and reliefs that New Generation Link is entitled to under the law, the Customer shall also be liable to New Generation Link for all legal costs and attorney’s fees incurred by New Generation Link if it is necessary to file a case,
institute an action, or seek the assistance of a lawyer to enforce New Generation Link’s rights under this Agreement due to the Customer’ s refusal or failure to comply with its obligations.
